Partner Terms of Service

1. Introduction
These Terms of Service are provided by Nigmet UG (haftungsbeschränkt), Herderstraße 98, 40721 Hilden, Germany.
These Partner Terms of Service ("Terms") govern your participation in the Nigmet Sales Partner Program. By accepting an invitation or submitting an application to become a Nigmet Partner, you agree to be bound by these Terms.
2. Partner Responsibilities
As a Nigmet Partner, you agree to:
- Promote Nigmet products and services in a professional manner.
- Provide accurate and truthful information during registration and KYC verification.
- Not misrepresent Nigmet's products, pricing, or capabilities to potential customers.
- Comply with all applicable laws and regulations in your jurisdiction.
3. Commission Structure
Partners earn commissions as detailed in the Partner Commission Agreement. Commission rates are set at the time of partner registration and may be adjusted with mutual agreement.
4. Referral Tracking
All restaurant referrals must use your unique referral code. Nigmet tracks referrals through its platform and credits commissions accordingly. Disputes regarding referral attribution will be resolved at Nigmet's discretion.
5. Payment Terms
Commissions are calculated monthly and paid within 30 days of the end of each calendar month. Minimum payout thresholds may apply based on your currency and payment method.
6. Termination
Either party may terminate the partnership with 30 days written notice. Upon termination, pending commissions will be paid out within 60 days, subject to any applicable deductions.
7. Intellectual Property
Partners are granted a limited, non-exclusive license to use Nigmet branding materials solely for the purpose of promoting Nigmet services. This license terminates upon termination of the partnership.
8. Governing Law
These terms are governed by the laws of the Federal Republic of Germany.
