Partner Commission Agreement

1. Commission Structure
Nigmet Partners earn commissions on restaurant subscriptions brought through their referral efforts. The commission structure consists of two components:
1.1 Signup Bounty
Partner bounties are paid when the referred restaurant converts to a paid subscription (Pro or Enterprise) after completing their 90-day free pilot and successfully pays their first invoice. Free Pilot plan signups do not earn a bounty. The bounty amount is equal to 100% of the Pro monthly subscription price for the Partner's currency region (e.g., €89 in DE):

1.2 Recurring Per-Invoice Commission
For each successful invoice payment from a referred restaurant (starting month 2), the Partner receives a recurring commission. For annual plans, the 20% recurring commission is amortized and paid out over 12 months:

2. Subscription Revenue Share
In addition to bounty and per-invoice commissions, Partners earning a percentage-based commission receive the agreed share of the restaurant's monthly subscription fee. The percentage is agreed upon during partner registration and applies to all paid subscription plans (Pro and Enterprise).
3. Eligible Plans
Commissions apply to the following subscription plans:
- Pilot (Free) — No commission (plan price is €0).
- Pro POS — Commission calculated on the full subscription price.
- Enterprise Chain — Commission calculated on the full subscription price.
Note: Partner bounties are paid when the referred restaurant converts to a paid subscription after completing their 90-day free pilot. No commissions are earned during the pilot period.
4. Payment Schedule
Commissions are accrued monthly and paid via Stripe Express within 30 days of the month's close. A minimum payout threshold of €10 (or equivalent) applies.
5. Adjustments & Cancellations
If a referred restaurant cancels its subscription, the cancellation takes effect at the end of their current billing cycle and no partial refunds are provided. If a restaurant cancels during their 90-day trial period, the associated bounty commission will not be paid. Recurring commissions are adjusted based on actual collected revenue.
6. Changes to Commission Rates
Nigmet reserves the right to modify the commission structure with 60 days' written notice. Existing commissions earned before the change date are not affected.
